1. Acceptance of Terms
By accessing or using DropshipBuys ("the Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Platform.
These Terms apply to all users of the Platform, including dropshippers, sellers, and visitors. We reserve the right to update these Terms at any time, and your continued use of the Platform constitutes acceptance of any changes.
2. Account Registration
To use certain features of the Platform, you must register for an account. You agree to:
- Provide accurate, current, and complete information during registration;
- Maintain and promptly update your account information;
- Keep your password secure and confidential;
- Accept responsibility for all activities under your account; and
- Notify us immediately of any unauthorized use.
We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent activity.
3. Dropshipping Services
DropshipBuys provides a platform connecting dropshippers with verified suppliers. By using our services, you acknowledge:
- Products are shipped directly from suppliers to your customers;
- Inventory levels and pricing may change without notice;
- Processing and shipping times are estimates, not guarantees;
- You are responsible for customer service and communication; and
- We facilitate transactions but are not the seller of record.
You must comply with all applicable laws regarding ecommerce, taxation, and consumer protection in your jurisdiction.
4. Fees and Payments
You agree to pay all fees associated with your subscription plan and transactions:
- Subscription fees are billed monthly or annually in advance;
- Transaction fees are deducted from order payments;
- Failed payments may result in service suspension;
- Refunds are subject to our Refund Policy; and
- All fees are exclusive of applicable taxes.
We may change our fees with 30 days notice. Continued use after fee changes constitutes acceptance.
5. Intellectual Property
All content on the Platform, including but not limited to text, graphics, logos, and software, is the property of DropshipBuys or its licensors and is protected by intellectual property laws.
You may not:
- Copy, modify, or distribute Platform content without permission;
- Use our trademarks without written authorization;
- Reverse engineer or attempt to extract source code; or
- Remove any copyright or proprietary notices.
Product images and descriptions from suppliers may have separate licensing terms.
6. Prohibited Activities
You agree not to:
- Violate any laws or regulations;
- Infringe on others' intellectual property rights;
- Sell counterfeit, illegal, or prohibited items;
- Engage in fraud, deception, or misleading practices;
- Manipulate reviews, ratings, or feedback;
- Interfere with Platform security or functionality;
- Scrape or harvest data from the Platform; or
- Use the Platform to harm competitors.
Violations may result in immediate termination and legal action.
7. Disclaimer of Warranties
The Platform and all content and services made available through it are provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied. To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, title, and non-infringement. We do not guarantee uninterrupted or error-free service, and we are not responsible for supplier actions, product quality, or shipping delays.
8. Limitation of Liability
To the maximum extent permitted by law, DropshipBuys and its parent company, ShopWebCo, Inc., and their respective officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill.
For any claim arising out of or relating to a product purchased or sold through the Platform, the total aggregate liability of DropshipBuys and its parent company is limited to US$500 (or the fees you paid us in the twelve (12) months preceding the claim, whichever is greater). Nothing in these Terms limits liability that cannot be limited under applicable law, such as for gross negligence, willful misconduct, or fraud. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.
9. Indemnification
You agree to defend, indemnify, and hold harmless DropshipBuys, its parent company ShopWebCo, Inc., and their respective officers, directors, employees, and agents from any claims, damages, liabilities, losses, costs, or expenses (including reasonable attorneys' fees) arising from your use of the Platform, the products you sell through it, your violation of these Terms or any law, your violation of any third-party right, or your customer interactions and disputes. This obligation survives termination of these Terms.
10. Termination
Either party may terminate this agreement at any time:
- You may close your account through settings or by contacting support;
- We may terminate accounts for Terms violations;
- Upon termination, your access to the Platform will cease;
- Outstanding fees remain due upon termination; and
- Data retention follows our Privacy Policy.
We may maintain certain information as required by law or for legitimate business purposes.
11. Governing Law and Disputes
These Terms are governed by the laws of the State of Texas, United States, and applicable U.S. federal law, without regard to conflict-of-law principles.
Any dispute arising out of or relating to these Terms or your use of the Platform will be resolved as follows:
- First, through good-faith negotiation;
- Then, by final and binding individual arbitration administered by the American Arbitration Association (AAA);
- Arbitration will be seated in Dallas, Texas, USA; and
- You waive the right to a trial by jury and the right to participate in any class, collective, or representative action.
Either party may still bring a qualifying individual claim in small-claims court.
12. Changes to These Terms
We reserve the right to modify these Terms at any time. Material changes will be communicated via email or through the Platform with at least 30 days' notice. Continued use of the Platform after changes take effect constitutes acceptance of the revised Terms.
